Effective 2025 — RAW Concept GmbH, Bonn

This is an English translation provided for convenience. In case of any discrepancy or dispute, the German version of these Terms & Conditions shall prevail and be legally binding.
§ 01
Scope

These General Terms & Conditions apply to all contracts between RAW Concept GmbH (the "Contractor") and its clients (the "Client") concerning CGI services, retouching, animation, and related creative work.

Deviating terms of the Client are not recognized unless the Contractor expressly agrees to their validity in writing.

§ 02
Conclusion of Contract

Offers by the Contractor are non-binding and subject to change. A contract is concluded only upon written order confirmation or commencement of the work.

Verbal side agreements require written confirmation by the Contractor to be effective.

§ 03
Prices & Payment Terms

All prices are net plus statutory VAT. Upon commencement of the project, a deposit of 50 % of the agreed fee is due. The remaining 50 % is payable upon delivery of the final files.

Invoices are payable within 14 days of the invoice date without deduction. In the event of late payment, default interest of 9 percentage points above the respective base rate p.a. will be charged.

The Contractor reserves the right to suspend the provision of services until full payment is received.

§ 04
Scope of Services & Revision Rounds

The scope of services results from the respective offer or order confirmation. As standard, two revision rounds per project are included. Additional correction rounds will be charged separately based on effort.

A revision round comprises the consolidated feedback of the Client on a submitted interim status. Multiple individual changes submitted together at one time count as one revision round. Changes that go beyond the originally agreed brief do not count as a revision but as an additional service and will be remunerated separately.

§ 05
Approval Process & Delivery

The Client is obligated to approve interim and final results in writing within 5 working days or to communicate change requests. If no feedback is received within this period, the Contractor will separately notify the Client of the expiry of the deadline and its consequences and set a reasonable grace period.

Final files are delivered after full payment in the agreed formats (standard TIFF, JPG, or MP4) via download link. Download links are valid for 30 days.

§ 06
Copyright & Usage Rights

All created works are subject to German copyright law. Upon full payment, the Client receives the agreed usage rights to the final image material. The type, scope, and territory of the usage rights are specified in the offer.

3D source data, scene files, textures, and project data generally remain the property of the Contractor and will not be released unless expressly and separately agreed and remunerated.

The Contractor reserves the right to present the created works in its portfolio and on social media channels, unless the Client objects for legitimate reasons.

§ 07
Client's Duty to Cooperate

The Client shall provide all materials, information, and data required for the provision of services (in particular CAD data, references, briefings, brand guidelines) in good time and in a suitable form.

Delays resulting from late or incomplete cooperation by the Client shall extend agreed deadlines accordingly and shall not be to the detriment of the Contractor. Additional work arising from this may be charged separately.

§ 08
Cancellation & Termination

In the event of cancellation of an order by the Client, the following cancellation fees apply:

  • Up to 7 days before project start: 25 % of the total fee
  • Up to 3 days before project start: 50 % of the total fee
  • After project start: 100 % of the portion of services rendered up to that point

Services already rendered and chargeable will be invoiced in full in any case. The Client reserves the right to prove that no damage or significantly less damage was incurred. The Contractor reserves the right to prove a higher actual damage.

§ 09
Limitation of Liability

The Contractor is liable without limitation in cases of intent and gross negligence as well as for injury to life, body, or health. In the event of slightly negligent breach of essential contractual obligations (cardinal obligations), the Contractor's liability is limited in amount to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded.

The Client is responsible for ensuring that provided materials (vehicle data, logos, brand materials) are free from third-party rights. The Contractor is not liable for legal violations arising from content provided by the Client. The Client shall indemnify the Contractor against claims by third parties in this respect.

§ 10
Force Majeure

Events of force majeure that significantly impede or render impossible the provision of services by the Contractor (for example natural disasters, strikes, official orders, failure of telecommunications networks or energy supply) entitle the Contractor to postpone the service by the duration of the impediment. Agreed deadlines are extended accordingly.

§ 11
Jurisdiction & Applicable Law

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from or in connection with this contract is Bonn, provided the Client is a merchant, a legal entity under public law, or a special fund under public law.

§ 12
Severability Clause

Should individual provisions of these General Terms & Conditions be or become wholly or partially invalid or unenforceable, this shall not affect the validity of the remaining provisions. In place of the invalid or unenforceable provision, the valid provision that comes closest to the economic purpose of the invalid provision shall be deemed agreed.
